Summary:

The CEO is responsible for the overall strategic direction, operation, and performance of the Company. This role ensures the Company complies with all applicable laws and regulations, including those set forth by VARA, and maintains the highest standards of integrity, diligence, and client asset safeguarding. The CEO leads the Senior Management team and implements the Board's directives to achieve the Company's business objectives.

Responsibilities:

Strategic Leadership

• Develop and implement the Company's strategic business plan, ensuring alignment with the Board's vision and regulatory requirements.
• Drive innovation and growth within the Company's operations and Virtual Asset ("VA") Activities.
• Monitor industry trends, market conditions, and regulatory changes to inform strategic decisions.

Operational Management

• Oversee all operational aspects of the Company, ensuring efficiency, effectiveness, and compliance.
• Lead, manage, and develop the Senior Management team.

Qualifications:

• Proven experience in a senior leadership role, preferably within the financial services or virtual asset industry.
• Strong understanding of virtual assets, blockchain technology, and the regulatory landscape.
• Demonstrated ability to develop and implement strategic business plans.
• Experience in managing financial performance, risk, and compliance.
• Knowledge of VARA regulations and requirements is highly desirable.
• Must be a "Fit and Proper Person" as defined by VARA, demonstrating qualification, industry experience, management experience, financial status, honesty, integrity, and reputation.
