Sole Counsel / Head of Legal — Technology Company

Hi there 👋 this is Mila Read from Found Legal, a specialist recruitment agency where we specialise in hiring in-house technology lawyers.

My client is a Tech company looking to hire a Sole Counsel / Head of Legal in Switzerland.

Location

The company has multiple offices throughout Switzerland and can hire in one of the following locations: Zurich area, Bern Area, St Gallen or Lucerne.

This is a hybrid role with 2 days in the office, the rest from home.

Company

— A smaller Tech / Software company established 30 years ago, #1 market leader in their niche.

Role

This is an exciting and varied generalist legal role within a tech / software business that is responsible for all legal aspects and matters, with a significant part of the work focusing on supporting the company's commercial activities (supporting the sales team and drafting and negotiating client contracts).

Since this is a smaller business, there is scope to shape your role and set up Legal the way it should be.

The business has already had a lawyer for over 3 years, so you are not starting from scratch: a lot of legal processes and structures and already established and other functions are used to working with Legal.

Responsibilities

— Work directly with the C-Level and Senior Leadership team and advise on a range of

matters including strategic initiatives

— Develop and implement the company's legal strategy

— Negotiating a variety of agreements, including SaaS, software and subscription licenses, maintenance agreements, partnerships, vendor agreements, and customer contracts.

— Maintain the company's compliance with local and international laws and regulations, IP, privacy, and cybersecurity laws.

— Manage and oversee any legal disputes or litigation.

— Manage legal risks and develop strategies to mitigate them.

— Advise on corporate governance and Board of Directors matters.

— Maintain data protection compliance, especially where the software handles personal or sensitive data.

— Provide guidance on employment law matters, including labor relations, employee contracts, and HR policies.

— Assist in due diligence and legal aspects of mergers, acquisitions, and partnerships.

Requirements

— We are looking for a technology lawyer with at least 6+ years of experience (ideally more)

— Experience drafting and negotiating technology contracts, strong knowledge of software licensing, intellectual property, and data privacy laws.

— You must be fully fluent in German and English (commercial negotiations level fluency)
