We are now hiring our Head of Legal & Structuring - a partner-level role for an experienced professional who will guide our regulatory and structuring strategy, act as a board director for issuer entities, and manage our global network of law firms and regulators.

The Role

As Head of Legal & Structuring, you will:

• Own the legal and structuring workflow across all jurisdictions where Midas operates (Germany, Liechtenstein, Luxembourg, Jersey, BVI, and others).
• Coordinate external counsel and manage delivery of legal opinions, prospectus filings, and regulatory submissions.
• Serve as board director of issuer vehicles (Luxembourg/Jersey) to meet local substance requirements.
• Oversee AML/KYC frameworks and ensure consistent compliance execution.
• Maintain and update the Base Prospectus and Final Terms, working with regulators on approvals and passporting.
• Ensure bankruptcy-remote structures and collateral pledges are robust, monitored, and enforceable.
• Act as a strategic partner to the leadership team, contributing to business and fundraising decisions.

Requirements

We are looking for a candidate who brings:

• 7–12 years’ experience in capital markets, structured finance, or securitisation (private practice or in-house).
• Deep knowledge of European securities law, prospectus regulation, and fund/issuer structures.
• Exposure to U.S. securities law and cross-border tokenised products.
• Strong understanding of MiCA, FATF standards, and crypto-asset/tokenisation regulation.
• Proven ability to work across multiple jurisdictions and manage top-tier law firms.
• Capacity to serve as a board director of issuer entities.
• Strong project management skills - able to run legal and structuring processes end-to-end.
• Entrepreneurial mindset - motivated to join the fastest-growing tokenisation company and take calculated risks.
• Excellent communication skills, able to translate complex legal advice into clear and actionable decisions.
