General Counsel and Company Secretary
Location: Mumbai
JOB PURPOSE
We are seeking a qualified and experienced General Counsel and Company Secretary to lead the legal and corporate secretarial functions of Air India SATS Airport Services Private Limited (“the Company”). This is a strategic and leadership role that supports the Company’s operations and growth by ensuring legal and regulatory compliance, managing risk, and enabling sound business decisions. This role requires you to be a key business partner to the management of the Group to ensure compliance within all regulatory and organizational frameworks while meeting the Group’s corporate and commercial objectives. This role reports to the CEO of AISATS.
KEY RESPONSIBILITIES
Legal Responsibilities
- Commercial Contracts: Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, service agreements, NDAs, strategic partnership agreements with key customers, catering contracts, etc.
- Risk Management: Identify legal risks and propose practical, business-oriented solutions to mitigate them. Develop internal policies and procedures to manage legal exposure.
- Corporate Transactions: Support M&A, joint ventures, and other strategic transactions, including due diligence and documentation.
- Dispute Resolution: Manage pre-litigation and litigation matters, including coordination with external counsel, drafting responses, and representing the company in legal proceedings when required.
- Stakeholder Engagement: Collaborate with internal stakeholders and SATS Group legal to align on legal strategy, compliance, and governance.
- Training and Awareness: Conduct legal and compliance training for employees and management to promote a culture of integrity and accountability.
- Regulatory Compliance: Monitor and interpret applicable laws and regulations (including FSSAI, labor laws, environmental regulations, and data protection laws) to ensure the Company’s operations remain compliant.
- General advisory: Provide timely, accurate and practical business advice to business units.
Corporate Secretarial Responsibilities
- Manage all corporate secretarial functions for the Company.
- Organize and coordinate Board and Committee meetings, including agenda preparation and minute-taking.
- Draft Directors’ Reports and ensure timely statutory filings with the Registrar of Companies and Ministry of Corporate Affairs.
- Maintain statutory registers and ensure compliance with the Companies Act and related rules.
- Maintain accurate records of all secretarial matters and support the preparation of the Annual Report and AGMs/EGMs.
- Handle day-to-day secretarial tasks and ensure governance best practices.
EDUCATIONAL QUALIFICATIONS
- A recognized law degree from India with at least 15 years’ post-qualification experience in a reputable law firm and/or in an in-house position in a corporation.
- ACS/FCS membership with the Institute of Company Secretaries of India.
PERSONAL CHARACTERISTICS & BEHAVIOUR
- Strong foundation in corporate and commercial law, with experience in contract negotiation, regulatory compliance, and governance.
- Excellent interpersonal and communication skills, with the ability to work closely with senior management and cross-functional teams.
- Commercially astute, proactive, and capable of managing complex legal issues across multiple domains.
- Detail-oriented, analytical, and a collaborative team player.
- Willing to travel across multiple Business Units.
