About the Team


The Germanic team of Sodali & Co provides strategic advice to half of the DAX40 and one-fourth of the SMI issuers on high-profile matters related to corporate governance, investor relations and shareholder engagement, ESG and sustainability. Further, the team is a trusted advisor in mid to large cap (contested) M&A transactions and counsels companies within shareholder activism and takeover/raid defence mandates as well as response to broader hostile activity or unsolicited approaches. The Germanic team directly partners with management boards and supervisory boards as well as senior leaders (Head of Investor Relations, Chief Legal Officer, Head of Corporate Board Office/Corporate Secretary) of the respective listed company.

About the Role


We are offering a unique opportunity to play an important role in resolving high-stake assignments of the most significant companies and transactions in the Germanic markets as well as to work alongside and under the guidance of senior advisors who have shaped the corporate governance and investor relations landscape in Germany, Austria and Switzerland for the past 20 years.




Key Duties

  • Support Project & Account Managers in advisory assignments on matters related to corporate governance, shareholder engagement and proxy solicitation, capital markets intelligence as well as sustainability and ESG.
  • Analyse, modelling and interpreting companies’ shareholder base profile, including proxy voting guidelines and past voting behaviour of major institutional investors to project impact and outcome of shareholder votes.
  • Analyse influence, proxy voting policies and frameworks of proxy advisory firms (e.g., ISS and Glass Lewis).
  • Support developing shareholder engagement and corporate governance roadshow concepts and materials (e.g., investor profiles) by thoughtful research on institutional investors and other stakeholder.
  • Cooperate and coordinate workstreams with other internal teams and business segments of Sodali & Co (e.g., corporate governance team, sustainability team, engagement team, M&A and activism team, strategic communication team, research and analytics team).
  • Engage in meaningful discussion with institutional and retail investors as well as proxy advisory firms.
  • Monitor shareholder positions and trading activities.
  • Support preparing executive summaries, client presentations, case studies and board-ready briefing materials.
  • Conduct research and surveillance on relevant governance, shareholder and activism trends.
  • Develop and expand subject matter knowledge related to corporate governance, investment stewardship, shareholder dynamics, activism and ESG.
  • Maintain the Germanic team’s various databases and in-house intelligence as well as excel reports.
  • Leverage financial and business intelligence databases such as Factset, Refinitiv Eikon, Bloomberg, ISS-Corporate, Diligent Market Intelligence, Broadridge as well as the firm’s proprietary databases, including the Sodali & Co Platform, to process, analyse and present obtained information in the form of texts, charts and tables.



About You


  • You will be highly motivated and passionate in establishing a career in corporate governance, shareholder advisory and investor relations.
  • Intellectual curiosity and high emotional competence as well as the ability to perform under pressure in real-time developing situations, handle multiple assignments simultaneously and meet tight deadlines while exercising utmost diligence is a prerequisite for being successful in this role.
  • Ideally degree educated in business administration, economics, finance, law, political science or a related field.
  • Preferably experience in investor relations, corporate governance, M&A, capital markets, investment management, banking or finance
  • A keen and demonstrated interest in Sodali & Co’s advisory and practice areas through first work experience, internships or educational background.
  • Highly organised, creative and analytical mind
  • Proficient in Microsoft Office, especially Excel and PowerPoint
  • Confident to work with qualitative and quantitative datasets to synthesise information and develop innovative, sophisticated solutions.
  • Outstanding project management skills with the ability to prioritise competing projects and deadlines.
  • Exceptional written and verbal communication skills with the ability to elaborate concepts and ideas concisely and defend their validity.
  • Professional and mature manner, ability to politely and considerately interact with clients, other advisors and colleagues while applying highest standards of business etiquette.
  • Ready to assume responsibility in high-stake situations in combination with a relentless work ethic and high resilience.
  • Unconditional integrity, confidentially and discretion
  • You will be required to interact with senior leaders of the firm as well as company boards, senior managers of issuers and other advisors (e.g., investment bankers, lawyers), exceptional communication and interpersonal skills are therefore indispensable.
