We’re hiring an experienced Fund Tokenization Lead to design, build and launch tokenization products end-to-end: token economics, legal & regulatory strategy, token engineering, custody, issuance, and investor flows.

Full job description — Fund Tokenization Lead
Mission
Lead Carlson Investments SE’s fund tokenization initiatives: design token structures for VC and Web3 funds, create compliant issuance frameworks for both regulated and non-regulated vehicles, and deliver market-ready token offerings (primary issuance, custody, secondary trading pathways, investor onboarding & KYC/AML).
Reporting
Reports to: Head of Innovation / Head of Investments (CEO)
Works closely with: Legal & Compliance, Asset Management teams, CTO/Engineering, Custody/Prime Broker partners, external counsel & auditors, exchange/market infrastructure partners.
Key responsibilities
- Define tokenization strategy and roadmap for Carlson’s sub-funds and investment vehicles.
- Architect token models (equity tokens, security tokens, tokenized warrants, revenue-share tokens, fractionalized fund interests) and produce tokenomics documents and cap table / dilution models.
- Draft commercial & technical term sheets, token issuance documentation, and investor pitch materials.
- Coordinate with internal legal/compliance + external counsel to design offerings that meet securities / fund regulations (both regulated and non-regulated paths).
- Lead procurement and integration of custody, token-minting, KYC/AML (e.g., Sumsub-style), and on-/off-ramps.
- Oversee smart contract specification (and vendor/partner selection if not building in-house), audits, and remediation.
- Build processes for investor onboarding, secondary trading (OTC or exchange), transfer restrictions, whitelisting, tax/reporting flows, and distribution mechanics.
- Manage relationships with exchanges, liquidity providers, market makers, and token custodians.
- Create operational playbooks: issuance checklist, investor disclosures, remediation plans, lifecycle management (burn, vesting, buybacks).
- Lead risk assessment (operational, legal, market) and coordinate internal audit & external auditors.
- Mentor junior staff and build a tokenization center of excellence at Carlson.
Deliverables (examples)
- Tokenization feasibility study for 1 regulated sub-fund and 1 non-regulated vehicle (6–8 weeks).
- Tokenomics model + investor KID / information memorandum for first pilot issuance.
- Audit-ready smart contract package + security audit reports.
- Investor onboarding flow & custody integration live for pilot investors.
Must-have (minimum)
- 5+ years combined experience in capital markets product design, digital assets, or fintech, with 2+ years directly working on tokenization/security tokens OR digital-asset product issuance.
- Strong understanding of token standards and token engineering tradeoffs (ERC-20, ERC-1400, ERC-3525 or equivalents; or familiarity with Solana/Polkadot/Tezos equivalents).
- Practical experience working with fund structures (VC funds, AIFs, SICAVs, SPVs) and how tokenization maps to limited partner/shareholder rights.
- Track record interacting with regulators or counsel on tokenized securities (MiCA/ESMA/FCA/SEC-relevant experience or equivalent).
- Familiarity with custody, AML/KYC tooling, STO issuance platforms, and token-listing/custodian workflows.
- Strong product & project management skills — able to move a multi-disciplinary program from concept to launch.
- Excellent written & spoken English. Professional presence for investor and regulator conversations.
Nice-to-have
- Legal or compliance background (JD, LLM, or hands-on fund compliance experience).
- Prior startup or in-house engineering experience (ability to spec smart contracts).
- Experience with token economics modelling tools and on-chain analytics.
- Track record of successful token or STO issuance, secondary listing, or marketplace integrations.
- Multilingual (Polish, French, Arabic) helpful for regional investor outreach.
KPIs (first 6–12 months)
- Feasibility studies completed for 2 pilot vehicles within 8–12 weeks.
- MVP issuance (pilot tranche to accredited investors) executed within 4–6 months.
- Number of onboarded pilot investors & aggregate AUM tokenized (target agreed at hiring).
- Smart contract audit completed with zero critical findings (or remediated).
- Documented operational playbooks and compliance checklists implemented.
30/60/90 day plan (what success looks like)
- 30 days: Stakeholder map, regulatory gap analysis, tech stack options, and prioritized roadmap.
- 60 days: Tokenomics models for prioritized pilot(s); shortlist of vendors/custodians; draft term sheet and investor information pack.
- 90 days: Finalized legal structure + partner agreements; smart contract spec and audit plan; pilot investor onboarding flow tested.
Interview & assessment process (recommended)
- CV screen + short phone intro (30 min) — experience mapping.
- Technical interview (1 hour) — token standards, tokenomics, fund mechanics.
- Case study submission (candidate prepares 1-page tokenization concept & cap table for a VC fund) + walkthrough (45–60 min).
- Stakeholder interview with Legal/Compliance + CTO (45–60 min).
- Final presentation to senior execs: 20-minute plan + Q&A.
