The Legal Counsel – Legal & Compliance will serve as an in-house advisor for a group operating in advanced manufacturing in technology.

Scope of Role

The Legal Counsel will provide legal support to senior management (including the VP – Contracts & Business) on:

• Corporate structure and corporate governance
• EPC and industrial transactions
• Stakeholder negotiation
• Joint ventures and international partnerships
• Commercial contracts and tenders
• Omani legal and regulatory frameworks in industry
• Risk management
• Mergers & acquisitions and strategic projects

Education & Experience

• Bachelor’s Degree in Law (required) preferably common law jurisdiction (UK,US,AUS, NZ)
• Master’s Degree in Law (LLM) preferred
• Fluent in Arabic and English (required)
• 5–7 years of experience in corporate / commercial legal advisory roles, preferably in:

Energy

Industrial manufacturing

Advanced technologies

Joint ventures & mega-projects

Preferred:

• Legal qualification license, Omani or common law jurisdiction qualifying (UK,US,AUS, NZ)

Key Responsibilities

• Draft and maintain corporate governance frameworks, resolutions, shareholder agreements, and delegation of authority structures.
• Ensure group companies, subsidiaries, and joint ventures comply with Omani Commercial Companies Law and relevant regulations (e.g., MOCIIP, Madayn, Duqm SEZAD where applicable).
• Draft, review, and negotiate:

Manufacturing agreements

Technology transfer and licensing contracts

Partnerships with foreign OEMs

EPC, procurement, and construction contracts

Supply chain, vendor, employment, and consulting agreements

Ensure contracts appropriately allocate risk and protect IP, cybersecurity, and confidential information.

• Advise internal stakeholders on contractual rights, obligations, and remedies.
• Regulatory Compliance (Local & International)
• Support legal aspects of acquisitions, divestments, strategic partnerships, and joint ventures, including due diligence and transaction documentation.
• Draft, review, and negotiate JV agreements with international partners
• Identify legal risks across projects and contracts and recommend mitigation strategies.
• Develop and maintain legal policies, SOPs, templates, and playbooks (e.g., NDAs, standard terms and conditions).
• Coordinate work with approved external law firms.
• Maintain a secure and organized digital legal archive and contract management system.
