Role Description

This is a full-time role at Swaper. The role is located in the Tallinn city center with the flexibility for some work from home. For exeptional candidates remote work can be considered. The Head of Legal & Compliance will be responsible for overseeing and implementing all legal and compliance matters.


Key Responsibilities

  • Manage and draft various legal documents such as agreements, contracts, terms of use and other platform required documentation.
  • Manage various legal topics with customers, partners, employees and other third parties.
  • Act as the primary contact for queries related to the legal and compliance.
  • Develop and implement company’s policies, procedures and regulations.
  • Review and evaluate company procedures and reports to identify hidden risks or common issues.
  • In charge of the full KYB/KYC reviews/checks on company partners and customers.
  • Make sure company keeps up with all applicable regulations.
  • In charge of the changes needed to implement on company products and services in order to be compliant with various laws and regulations.
  • Perform periodic audits on company policies, procedures and processes.
  • Communicate effectively and efficiently with business lines to obtain needed customer Due Diligence information.
  • Lead employee training sessions on legal and compliance topics.
  • Replace direct manager during his/her absence.
  • Perform other duties in accordance with Employer’s instructions.


Job Requirements:

  • Minimum education required for the position: higher education in law.
  • Professional experience: at least 3-year experience in similar position and at least 5-year experience as lawyer in law offices, in fintech or financial services.
  • Experience advising on MiFID II, PSD2/E-Money Directive, AIFMD, ECSPR (Crowdfunding Regulation), AML/CTF frameworks or Data protection compliance.
  • Experience with communicating with regulatory bodies and being as contact person is considered as an advantage.
  • Advising on cross-border regulatory requirements and Fintech product structuring.
  • Ability to apply theoretical and practical knowledge and skills for effective work in the interests of the company.
  • Plan, organize and manage work efficiently and according to the goals set.
  • Analyse, forecast, take decisions and undertake responsibility for results of activities.
  • Good communication skills and observance of business etiquette.
  • Ability to cooperate with company’s partners and groups of other stakeholders to achieve company goals and interests.
  • Ability to identify problems and elaborate their solutions.
  • Language skills: fluent in speaking and writing in English, knowledge of Estonian will be considered as an advantage.
