Job Description & Summary

PwC Luxembourg is hiring a M&A (Senior) Manager (m/f/d). What if it was you?

Your mission: PwC’s Mergers & Acquisitions (M&A) Advisory team supports clients across the full transaction lifecycle, helping them assess strategic alternatives and execute complex transactions with confidence. We advise corporate, private equity and entrepreneurial clients on sell-side and buy-side transactions, mergers, joint ventures, divestitures, capital raisings and other strategic transactions.

As a Manager / Senior Manager, you will play a pivotal role in leading transaction execution and shaping client outcomes. You will work closely with Partners and Directors on high-profile domestic and cross-border transactions, act as a trusted adviser to C-suite stakeholders and take ownership of day-to-day delivery while contributing to the continued growth of the M&A practice.

You will join a high-performing team focused on disciplined execution, informed deal decision-making and close collaboration with senior stakeholders.

Key Responsibilities

  • Lead and manage end-to-end execution of M&A transactions across sell-side and buy-side mandates;
  • Act as a primary point of contact for clients, building trusted relationships with senior management and shareholders;
  • Drive transaction workstreams including financial analysis, valuation, deal structuring, process management and negotiations;
  • Coordinate multi-disciplinary Due Diligence teams (Finance, Tax, Legal Regulatory, HR, etc.) to drive the process;
  • Prepare and review high-quality client deliverables including teasers, information memoranda, management presentations, valuation materials and board papers;
  • Support Partners / Directors in originating new business, including pitch preparation, proposal development and market mapping;
  • Provide coaching, mentorship and performance management for junior team members, fostering a strong team culture;
  • Contribute to the strategic development of the M&A practice, including thought leadership, sector initiatives and capability building.

Let's talk about you if you...
  • Hold a bachelor’s or master’s degree, ideally in finance, business administration or a related field;
  • Bring significant relevant experience in M&A advisory (at least 5–7+ years), investment banking, Big 4, corporate finance or transaction services - ideally gained within a leading advisory or investment banking platform;
  • Have a proven track record of leading complex transactions and managing multiple stakeholders under tight deadlines;
  • Possess strong technical skills across valuation, financial modelling and transaction structuring;
  • Demonstrate a commercial mindset with the ability to identify value drivers, assess risks and understand strategic considerations;
  • Communicate with clarity and confidence, including in interactions with C‑suite executives and investors;
  • Have experience mentoring and developing high‑performing teams;
  • Bring a strong academic background, with relevant professional qualifications considered an advantage;
  • Are fluent in English with a polished, professional writing and presentation style;
  • Consider Luxembourgish, French or German as strong assets (but not requirements);
  • Have knowledge of the Luxembourg business and investment ecosystem, which is considered an advantage;
  • Are willing to travel occasionally based on client and project needs.
