About the Role


As a Junior Corporate Affairs Officer, you shall support in the coordination and execution of the Bank’s corporate governance, corporate secretariat and regulatory reporting activities and contribute to the organisation and proper functioning of the Bank’s corporate bodies and management committees and governance framework.

You shall perform the above tasks under the coordination of the Corporate Affairs & Secretary General.



Responsibilities


  • Assist the Secretary in the organisation and preparation of meetings of the Board of Directors, its specialised committees and the Executive Committee of the Bank.
  • Support the preparation of governance documentation, including agendas, board packs, corporate resolutions and governance reports.
  • Assist in the drafting, formatting and maintenance of minutes and corporate documentation relating to corporate bodies.
  • Assist the Secretary to centralize and coordinate relations with the Parent Company for corporate and governance issues of the Bank and its branche(s) and subsidiary(ies).
  • Support the Secretary to assist the Board of Directors (as well as its specialised committees), the Shareholders' Meeting and the Executive Committee of the Bank in the exercise of their functions.
  • Assist the SICAV Boards of Directors in the exercise of their functions.
  • Take care of the activities’ scheduling and administrative aspects of the SICAV Boards of Directors.
  • Assist the Secretary in ensuring the compliance of the deliberative activities of the SICAV Boards of Directors with applicable governance requirements.
  • Assist the Secretary in the corporate secretariat and governance activities related to funds and entities for which the Bank acts as domiciliation agent, including the preparation and maintenance of corporate documentation and governance records.
  • Provide support in the administrative and governance aspects of domiciliation activities performed by the Bank, in coordination with the relevant internal functions.
  • Assist in maintaining the corporate documentation and governance records of the Bank.
  • Support the monitoring and follow-up of action points and governance matters arising from corporate bodies.
  • Assist the Secretary in the preparation of regulatory notifications, correspondence and reporting to supervisory authorities (including, where relevant, CSSF, NBB or other competent authorities).
  • Support the management of official correspondence with regulatory authorities and the tracking of regulatory requests and submissions.
  • Contribute to the preparation of governance and regulatory reports addressed to senior management and supervisory authorities.



Qualifications


  • University degree in Law, Corporate Governance, Business Administration, or related field.
  • Initial experience or strong interest in corporate governance, company secretariat, legal, compliance or regulatory matters within the financial sector.
  • Good understanding of corporate governance frameworks in regulated financial institutions is considered an advantage.



Technical Skills


  • Strong drafting and documentation skills.
  • Good knowledge of Microsoft Office tools (Word, PowerPoint, Excel).
  • Fluency in English (written and spoken).
  • French and/or Italian are considered an advantage.

  • Ability to manage confidential and sensitive information with discretion.
  • Good communication and coordination skills.
  • Ability to work in a structured and deadline-driven environment.
