Role Objective

JOB CONTENT

Providing support and assistance to the Chief Legal Officer (“CLO/ Line Manager”) in order to ensure the Port of Duqm Company practices, policies and procedures are in compliance with the laws, rules and regulation of the Sultanate of Oman.

Duties and Responsibilities


Operational:

  1. Assist the CLO in identifying legal and regulatory risks, and ensure sufficient controls are in place to mitigate these risks.
  2. Support the CLO in establishing adequate systems, procedures, and guidelines to ensure compliance with laws and regulations.
  3. Monitor developments in the legislative and regulatory environment, assess their impact on PODC, and ensure management is well-informed of such changes.
  4. Provide sound and timely legal support to PODC management as requested by the CLO.
  5. Draft and review contracts, policies, forms, and procedures for the organization.
  6. Represent, or arrange for representation of, PODC in any legal proceeding involving or initiated by the organization.
  7. Draft, review, and negotiate a wide range of corporate contracts, including employment agreements, supplier contracts, licensing agreements, and land-related contracts (sub-usufruct, lease, development agreements, bunkering, terminal operation, etc.,).
  8. Assist the CLO and PODC management on the strategic projects that are currently being carried out and ongoing.
  9. Draft and review legal pleadings, letters, legal opinions, and notices referred to the legal department to ensure PODC’s interests are fully protected.
  10. Liaise with external counsel, financial and technical advisors (if deemed necessary), and lenders on various strategic projects.
  11. Serve as secretary and/or legal advisor for PODC’s ordinary and extraordinary general meetings.
  12. Liaise with authorities (e.g., the Secretariat of the Commercial Register) concerning the convening of shareholders’ meetings and the approval of minutes.
  13. Provide legal advice on commercial transactions that PODC seeks to enter into.
  14. Coordinate the preparation of periodic reports to the board of directors, regulators, and other government agencies.
  15. Collaborate with PODC’s external and internal auditors to ensure adequate operational coverage and all regulatory compliance are met.
  16. Perform any other tasks assigned by the Line Manager


MINIMUM EDUCATION & QUALIFICATIONS

Education:

Bachelor degree in Law (LLB) and worked in a reputable law firm. or as approved in the Minimum Qualifications and Experiences matrix.


Experience:

  • Minimum of 10 years of relevant work experience in law firm with 3 years in supervisory level. Or as approved in the Minimum Qualifications and Experiences matrix.


Special Skills & Knowledge:

  • Possesses excellent English skills with clear written and verbal communication.
  • Demonstrates a willingness to learn on the job, be a team player, and not shy away from taking responsibility and ownership of work.
  • Proficient in the Microsoft Office Suite.
  • Holds strong analytical legal skills to identify issues and provide sound solutions to mitigate problems.
  • Adheres to high ethical standards.
  • Willing to stay updated on legal changes.

  • This position requires a reasonable level of business understanding.
