Job Description
We are looking for an experienced and dynamic Legal Officer to join our team at the Luxembourg office on a full-time basis. This role is designed for a legal professional with solid corporate and financial law expertise who thrives in the innovative intersection of traditional finance and blockchain technology. You will play a crucial role in navigating the complex regulatory landscape of digital assets while supporting our rapid growth and international expansion.
In this role, you will report directly to the Head of Legal and work closely with senior management. As Legal Officer at STOKR, you will collaborate with our leadership team, compliance department, and business units to ensure legal excellence across all operations. This position offers a unique opportunity to shape the legal framework of cutting-edge financial technology solutions.
Responsibilities
- Provide comprehensive legal advice on Luxembourg corporate law matters, including entity structuring, governance, and corporate housekeeping for multiple group entities.
- Structure and implement sophisticated financing arrangements in Luxembourg, advising on optimal legal structures for various business purposes and investor requirements.
- Draft, review, and negotiate complex financial agreements, including securities documentation and investor agreements.
- Collaborate with the Compliance team to ensure adherence to regulatory requirements, particularly in the areas of digital assets, MiCA regulations, and financial services law.
- Manage relationships with external counsel and coordinate legal projects across multiple jurisdictions.
- Support product development by providing legal input on new tokenization projects, platform features, and service offerings.
- Conduct legal due diligence for onboarding institutional clients and strategic partnerships.
- Monitor and analyze evolving regulations in the blockchain, cryptocurrency, and digital securities space, providing strategic guidance on regulatory developments.
- Develop and maintain internal legal policies, templates, and standard operating procedures.
- Support M&A activities, joint ventures, and strategic investments as the company expands.
- Liaise with regulatory authorities and participate in license applications and regulatory communications.
- Provide training to internal teams on legal and regulatory matters relevant to their functions.
- Master’s degree in Law (LL.M preferred) with admission to practice law in Luxembourg or eligibility for admission.
- Minimum 3 years of hands-on experience within a reputable law firm, preferably with exposure to financial services, capital markets, or fintech sectors.
- Excellent understanding of Luxembourg corporate law, including company formation, governance, and restructuring.
- Deep knowledge of financing structures in Luxembourg and their different purposes, including SPVs, securitization vehicles, and investment fund structures.
- Strong ability to draft complex financial agreements with attention to detail and commercial awareness.
- Excellent understanding of technology, with the ability to grasp technical concepts related to blockchain, smart contracts, and digital assets.
- Demonstrated interest in the blockchain and Bitcoin space, with knowledge of crypto assets and DeFi concepts being highly advantageous.
- Fast learner with intellectual curiosity and ability to quickly adapt to new regulatory frameworks and business models.
- Creative problem-solver with the ability to find innovative legal solutions in uncharted regulatory territory.
- Team player with proven ability to work under pressure and interact effectively with strong personalities across different departments.
- Resilient mindset with the ability to navigate ambiguity and manage multiple priorities in a fast-paced environment.
- Perfect command of English (written and spoken); proficiency in French and/or German is a plus.
- Experience with securities law, prospectus regulations, or MiCA is highly desirable.
