Legal Associate

2. JOB PURPOSE:

We are seeking a highly skilled and motivated Legal Associate to support the Legal Counsel across a wide range of legal functions. The ideal candidate must have extensive experience in drafting and reviewing contracts and legal agreements, particularly in Web3, blockchain, crypto, and technology sectors. The role demands an individual who is self-driven, detail-oriented, capable of working under pressure, and able to collaborate effectively across departments in a fast-paced environment.

3. KEY ACCOUNTABILITIES:

Description

• Draft, review, and negotiate various legal agreements including commercial contracts, NDAs, SaaS agreements, licensing agreements, and partnership MOUs.
• Provide legal support for fundraising operations such as private equity and venture capital, including investment term sheets and SAFE/convertible notes.
• Assist in M&A transactions with a focus on buy-side due diligence, drafting share purchase agreements, and reviewing corporate governance documentation.
• Work on corporate finance matters, including loan agreements, credit facilities, investment agreements, and compliance with financial regulations.
• Advise on capital markets activities, including securities offerings and regulatory compliance with DFSA, ADGM, or equivalent jurisdictions.
• Provide legal support for real estate transactions including lease agreements, title review, and development contracts.
• Maintain corporate records, ensure legal compliance with relevant laws and regulations in UAE and international jurisdictions.
• Assist in the development and implementation of internal legal processes and policies.

4. COMMUNICATIONS & WORKING RELATIONSHIPS:

• Directly reports to the Legal Counsel, follows instructions and legal directives
• Works closely with the Business Managers, Managing Director, and other leadership stakeholders
• Collaborates with cross-functional departments as required, including Product, Risk, and IT teams to support legal and operational alignment
• May also interact with external legal partners or regulators as needed under the supervision of Legal Counsel

5. QUALIFICATIONS, EXPERIENCE & SKILLS:

• Bachelor’s degree in Law (LLB); Master’s degree preferred.

3–6 years of legal experience ideally in blockchain, crypto, Web3, fintech, or VC-backed startups.

• Solid understanding of UAE and international commercial and corporate law(knowledge of freezone and experience with companies' incorporation worldwide)
• Proven experience in fundraising, M&A, capital markets, and real estate transactions.
• Strong communication and interpersonal skills.
• Fluent in written and spoken English.
• Ability to work independently and under pressure in a fast-paced environment.
• Positive, adaptable attitude with a willingness to grow and take initiative.
