Reporting to: Senior Manager, Joint Ventures (G2G)
JOB PURPOSE:
To help originate, structure, execute, and actively manage Government-to-Government Joint Ventures that deliver sustainable risk-adjusted financial returns for OIA, while supporting defined national economic priorities through structured sovereign partnerships. The role combines investment strategy, commercial structuring, and active ownership to ensure G2G partnerships are financially disciplined, value creating, and effectively governed.
ROLES AND RESPONSIBILITIES:
• Identify and develop G2G investment opportunities aligned with OIA’s portfolio strategy and Oman Vision 2040 priority sectors.
• Engage with sovereign wealth funds, state-owned enterprises, and institutional investment counterparts to originate commercially viable joint ventures.
• Design partnership structures (platform JVs, co-investment vehicles, sector-focused platforms, direct industrial JVs).
• Develop robust financial models and governance frameworks appropriate for cross border sovereign partnerships.
• Structure MoUs, term sheets, and shareholder agreements to ensue commercial viability, capital protection, clear governance rights, and risk mitigation
• Prepare comprehensive investment memoranda for Investment Committee and senior leadership.
• Lead end-to-end execution of G2G joint ventures from structuring through closing.
• Negotiate commercial terms including governance rights, capital commitments, reserved matters, performance protections, and exit mechanisms.
• Coordinate legal, financial, and operational workstreams to ensure disciplined transaction delivery.
• Maintain investment rigor in transactions with strategic visibility.
• Oversee portfolio performance of G2G joint ventures against approved business plans, financial return targets, and agreed strategic KPIs
• Coordinate closely with OIA board representatives on the JVs to enhance oversight and performance.
• Review board and shareholder meeting materials and provide structured feedback and recommendations to OIA’s board and Investment Committee representatives regarding agenda items, resolutions, strategic proposals, and risk matters.
• Support OIA representatives in forming informed positions ahead of board and shareholder meetings.
• Drive value creation initiatives including strategic, financial and operational.
• Design and execute monetization or exit strategies when value objectives are achieved.
• Act as primary investment interface between OIA and sovereign investment partners.
• Manage alignment between commercial objectives and strategic expectations.
• Maintain long-term institutional relationships to support pipeline development and portfolio growth.
• Ensure partnerships remain performance-oriented and commercially accountable.
• Monitor sovereign investment trends and cross-border JV developments.
• Assess regulatory, governance, capital structure, and reputational risks.
• Identify emerging sectors suitable for structured sovereign co-investment.
• Ensure robust governance structures across portfolio companies.
• Safeguard documentation of all G2G transactions.
• Anticipate and mitigate governance misalignment, capital impairment risk, cross border execution risk.
• Ensure minority protections and control mechanisms are preserved where applicable.
• Prepare high-level investment reports and portfolio updates for:
- Senior OIA leadership
- Investment Committee
- Board-level review
- Other stakeholders where relevant
• Develop performance dashboards and reporting frameworks tailored to sovereign JV oversight.
• Comply with all relevant health, safety, and quality requirements, in order to guarantee employee safety and legislative compliance.
• Contribute to the identification of opportunities for continuous improvement of systems, processes and practices considering ‘leading best practices’, improvement of business processes, cost reduction and productivity improvement.
MINIMUM QUALIFICATIONS AND REQUIREMENTS:
- Educational Qualifications Bachelor’s Degree Specialization in Finance, Business
- Management, Economics, Accounting, or any other relevant field
- Professional Qualifications CFA, CMA, CPA, FMVA, FRM is desirable
- Work Experience 8 to 10 years of related experience
- Languages Fluency in English is essential
- Computer skills Proficiency in MS Office is essential (especially Excel and PowerPoint)
- Experience with business related software is desirable
